AXIS REFERRAL helps individuals make informed real estate decisions by combining artificial and human intelligence. Our patent-pending AI technology enables large-scale, personalized text and phone conversations with customers. By merging data, personalization, and natural language understanding, AXIS REFERRAL allows clients to engage deeply in the property purchasing or referral process before speaking directly with a real estate professional.

In these Terms of Service (“Terms”), “we,” “us,” “our,” and “AXIS REFERRAL” refer to AXIS REFERRAL, and the terms “you,” “your,” and “user” refer to the individual or organization using our services. “AXIS REFERRAL services” include our phone and text-based systems (“AXIS REFERRAL Mobile Services”), our website and web application (“AXIS REFERRAL Web App”), and any associated websites, applications, notifications, emails, or other communication channels.

We may update these Terms at any time for any reason. The “Last Updated” date will reflect the latest revision. Any changes become effective immediately upon posting, and your continued use of AXIS REFERRAL services constitutes acceptance of the revised Terms.

By using our services, you agree to these Terms. If you are acting on behalf of an organization, you confirm that you have authority to bind that organization. In that case, “you” and “your” will refer to that organization. If a separate written agreement exists between your organization and AXIS REFERRAL, it will take precedence over any conflicting provisions here.

Your use of AXIS REFERRAL services constitutes valid consideration for this agreement. You also represent that you are capable of entering into legally binding contracts or authorized to do so on behalf of your company.

Consent to Contact

By using AXIS REFERRAL services, you agree to receive phone calls and text messages from us and our partners. You expressly authorize AXIS REFERRAL, its affiliates, and its partners (“Service Providers”) to contact you at the number(s) you provide, including via automated dialing systems or prerecorded messages—even if listed on a Do-Not-Call registry. Message and data rates may apply.

By providing your phone number, you consent to receive autodialed and prerecorded calls and texts from or on behalf of AXIS REFERRAL. Consent is not a condition of purchase.

You agree to indemnify AXIS REFERRAL and its Service Providers for all claims or damages related to your failure to update your contact number. To revoke consent for calls, request placement on our internal Do Not Call list. To stop text messages, reply “STOP.” Revocation cannot undo prior authorized communications.

Eligibility

AXIS REFERRAL services are intended for adult users (18+) residing in the United States or Canada. We do not knowingly collect data from individuals under 13.

User Responsibilities

To use AXIS REFERRAL services, you must provide accurate, current, and complete information (e.g., phone number, email, address). You must maintain this information and ensure your account is not transferred to another person.

You are solely responsible for all activities associated with your account or phone number and must notify us of any unauthorized use. AXIS REFERRAL is not liable for losses resulting from unauthorized access.

Availability

AXIS REFERRAL strives to maintain reliable services but does not guarantee uninterrupted availability. Service access may be suspended or terminated at any time without notice.

Acceptable Use

You agree to use AXIS REFERRAL services lawfully and ethically. The following are prohibited:

• Reselling, transferring, or sublicensing the services.

• Violating laws, regulations, or third-party rights.

• Reverse-engineering, decompiling, or tampering with software.

• Posting or transmitting harmful, illegal, or offensive material.

• Using AXIS REFERRAL to harass, defame, or mislead others.

Violation of these Terms may result in suspension or termination of access.

Third-Party Service and Referral Partners

AXIS REFERRAL may connect users with licensed real estate professionals, mortgage providers, insurance agents, or other service partners (“Referral Partners”). We do not endorse or guarantee their services and are not responsible for any agreements or outcomes between you and such partners.

You should conduct your own due diligence before engaging any Referral Partner. AXIS REFERRAL is not liable for any loss or damages related to their services.

By accepting a referral, you grant AXIS REFERRAL permission to share your information with that Referral Partner for communication and service purposes.

Fees and Membership Terms

Membership Fee

Real estate agents or brokers (“Members”) may be required to pay a non-refundable membership fee (“Membership Fee”) for access to the platform or leads. The Membership Fee may vary by plan or promotion.

Renewal

Memberships renew automatically each billing cycle using the payment method on file unless canceled before the renewal date. Renewal must occur within ten (10) days after plan expiry to maintain access.

Payments and Disputes

Referral fees or per-lead charges must be paid via AXIS REFERRAL’s payment portal, ACH, or wire transfer within twenty-five (25) days of transaction closing.
Any disputes must be submitted in writing within three (3) calendar days of the transaction closing date. Failure to do so waives your right to dispute. AXIS REFERRAL’s billing delay does not waive its right to payment.

No Impact by Third Parties

Referral fees owed to AXIS REFERRAL are not reduced or waived due to other commissions or fees owed to third parties.

Ownership, Feedback, and Confidentiality

All rights, titles, and interests in AXIS REFERRAL’s technology, software, and confidential information remain with AXIS REFERRAL. Your confidential information remains yours.

If you submit feedback, ideas, or suggestions (“Feedback”), you grant AXIS REFERRAL a perpetual, royalty-free license to use them without obligation or compensation.

Both parties agree to protect each other’s Confidential Information and use it only for purposes related to this agreement.

Data Use and Privacy

Your data will be handled in accordance with our [Privacy Policy].
By using the services, you consent to our data practices, including sharing information with Referral Partners as necessary.

We may access, use, or disclose user data to:

• Deliver services and provide support;

• Detect and prevent fraud or security incidents;

• Comply with legal requirements;

• Protect users and the public in emergencies.

If you disagree with our data use, discontinue using the services and text “STOP” to unsubscribe.

Disclaimers

AXIS REFERRAL provides services “as is” without any warranties, express or implied, including merchantability, non-infringement, or fitness for a particular purpose. Some jurisdictions may not allow certain exclusions, so these limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless AXIS REFERRAL, its affiliates, officers, and employees against all claims or damages arising from your breach of these Terms or misuse of our services.

Limitation of Liability

Under no circumstances shall either party be liable for indirect, special, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility.

Direct damages are limited to the total amount paid by you in the twelve (12) months preceding the claim.

Term and Termination

These Terms become effective upon your acceptance and continue until terminated. AXIS REFERRAL may suspend or terminate access at its discretion if you violate the Terms or applicable laws.

Governing Law and Arbitration

These Terms are governed by the laws of the State of Virginia, excluding conflict-of-law principles. The Federal Arbitration Act governs enforceability of the arbitration clause.

Any disputes will be resolved through binding arbitration in Florida, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Both parties waive the right to a jury trial.

If mediation fails, arbitration will proceed before a single arbitrator. Each party pays its own costs unless otherwise decided.

Class Action Waiver: You agree to bring claims only in your individual capacity. Class, collective, or representative actions are not permitted.

Force Majeure

Neither party is liable for delays or failure to perform due to causes beyond reasonable control (e.g., natural disasters, acts of war, labor disputes, or governmental actions).

Entire Agreement

These Terms constitute the full agreement between you and AXIS REFERRAL, superseding any prior discussions or communications. Any conflicting purchase order terms provided by you are void.
